1. Agreement to Terms

By accessing our website, purchasing our products, or using our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our website or purchase our products.

These Terms apply to all visitors, customers, and users of AI Metal Cluster products and services.

2. Hardware Purchase Terms

2.1 Orders and Payment

• All orders are subject to acceptance and availability
• Prices are in USD and do not include shipping, taxes, or duties
• Payment is due in full before shipment unless credit terms have been arranged
• We accept major credit cards, wire transfers, and approved purchase orders

2.2 Shipping and Delivery

• Shipping times are estimates and not guaranteed
• Risk of loss transfers to buyer upon delivery to the carrier
• Buyer is responsible for inspecting products upon receipt
• Damage claims must be reported within 48 hours of delivery

2.3 Returns and Refunds

• Hardware may be returned within 30 days if unopened and in original packaging
• A 15% restocking fee may apply to returned items
• Custom configurations are non-refundable
• Defective units will be replaced or refunded at our discretion

3. Software Licensing

3.1 License Grant

You are granted a non-exclusive, non-transferable, perpetual license to:

• Use the software on the purchased hardware unit
• Receive security updates and patches
• Access documentation and support resources

3.2 License Restrictions

You may NOT:

• Copy or distribute the proprietary software components
• Reverse engineer, decompile, or disassemble the software
• Remove or alter any proprietary notices
• Transfer the license to another hardware unit without authorization
• Use the software for illegal purposes

3.3 Open Source Components

The AI Metal Cluster software includes open-source components (Ollama, vLLM, etc.) that are licensed under their respective open-source licenses. These components remain subject to their original license terms.

4. Support and Warranty

4.1 Hardware Warranty

The hardware warranty covers:

• Manufacturing defects
• Component failures under normal use
• Advance replacement for qualifying issues

The warranty does NOT cover:

• Physical damage from mishandling
• Damage from power surges or environmental factors
• Unauthorized modifications or repairs
• Normal wear and tear

4.2 Technical Support

• Email support included with all purchases
• Priority phone support available with extended warranties
• Remote assistance for configuration and troubleshooting
• On-site support available at additional cost

5. Limitation of Liability

Our total liability for any claim shall not exceed the amount paid for the specific product or service giving rise to the claim.

We are NOT liable for:

• Loss of data or business interruption
• Decisions made based on AI outputs
• Third-party claims against the customer
• Issues arising from customer modifications

6. Intellectual Property

All intellectual property rights in our products, including:

• Patents and patent applications
• Trademarks and service marks
• Proprietary software and algorithms
• Documentation and training materials

remain the exclusive property of AI Metal Cluster and its licensors.

7. Acceptable Use Policy

You agree to use AI Metal Cluster products only for lawful purposes. Prohibited uses include:

• Generating content that violates any law or regulation
• Creating malware, exploits, or malicious code
• Producing illegal, harmful, or abusive content
• Infringing on intellectual property rights
• Unauthorized access to computer systems
• Any activity that could harm AI Metal Cluster's reputation

Violation of this policy may result in termination of support and warranty coverage.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to its conflict of law provisions.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Ohio, and the parties hereby consent to personal jurisdiction and venue therein.

9. Dispute Resolution

9.1 Informal Resolution

Before initiating any legal proceeding, parties agree to attempt informal resolution by contacting [email protected].

9.2 Arbitration

For disputes that cannot be resolved informally, parties agree to binding arbitration under the rules of the American Arbitration Association. Class action lawsuits and class-wide arbitration are waived.

10. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be posted on this page with an updated "Last Updated" date. Continued use of our products or services after changes constitutes acceptance of the modified Terms.

11. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
